Chapter 7 Business Bankruptcy

Businesses can file a Chapter 7 business bankruptcy case with contemplates the business ceasing all operations and all of its assets being liquidated for the benefit of its creditors.

Chapter 11 Business Bankruptcy

Businesses can also file a Chapter 11 business bankruptcy cases which allows the business to reorganize its debts and hopefully remain in business. Some of the business creditors may be paid in full; others may be paid a reduced amount or nothing at all. If a business cannot successfully reorganize under a Chapter 11 bankruptcy, it may voluntarily (or sometimes be forced) to a Chapter 7 business bankruptcy liquidation case.

In a Chapter 7 business bankruptcy case, the business is liquidated (all the business assets are sold) for the trustee distributes the proceeds to the creditors. Businesses do not receive a bankruptcy discharge, rather they are “liquidated” and cease operating as an ongoing business. For a business to file bankruptcy, it has to be registered with the state as a Corporation, Limited Liability Company, or some other type of official form of organized business. Sole proprietors conducting business will need to file a personal bankruptcy case because they are not formally organized as a corporation, LLC, etc.  Sole proprietors can file a Chapter 7, Chapter 13 and in some instances a Chapter 11, but they should not file an official “business bankruptcy.”.
